Colorado limited partnerships formed after July 27, 2009 will be reporting entities and will be required to file annual reports with the Colorado Secretary of State. Limited partnerships will be able to obtain a certificate of good standing and will not be required to renew their trade names as long as they remain in good standing.
Limited partnerships formed prior to July 27, 2009 will have the option to be reporting entities. To become a reporting entity, the limited partnership must file a Statement of Election to Be a Reporting Entity. This statement must be filed online. Effective November 2, 2009, the NASD Rules will require individuals whose activities are limited to investment banking and principals who supervise such activities to pass the new Limited Representative - Investment Banking Qualification Examination (Series 79 Exam). This exam may be taken in lieu of the Series 7 Exam for persons whose activities are limited solely to investment banking activities. Individuals who have already passed the Series 7 Exam may "opt in" to the new investment banking registration category by May 3, 2010.
